This is to inform that the Hon’ble National Company Law Tribunal, Mumbai (“NCLT”), vide its Order dated 11th November 2022 (“Order”), has approved the Scheme of Arrangement between NXTDIGITAL Limited (“NDL”) and Hinduja Global Solutions Limited (“HGS”). Consequent to the said Order, the Digital, Media and Communications business undertaking of NDL as detailed in the Order, alongwith all their concomitant rights, obligations, and liabilities, shall from 12th November 2022 (“Effective Date”), vest with HGS. ABOUT NXTDIGITAL LIMITED

NXTDIGITAL Limited, a Hinduja Group Company, used to have two business segments i.e. Media & Communications and Real Estate.

Under the Scheme of Arrangement between NXTDIGITAL Limited and Hinduja Global Solutions Limited and their respective shareholders, the Digital. Media and Communications business undertaking of NXTDIGITAL Limited has been transferred/demerged into Hinduja Global Solutions Limited with effect from 12th November 2022 vide Order dated 11th November 2022 issued by Hon’ble National Company Law Tribunal, Mumbai. The residual and existing business of the Company is real estate.

CORPORATE HERITAGE

NXTDIGITAL was originally incorporated on July 18, 1985, in the name of “Mitesh Mercantile & Financing Limited” in the state of Maharashtra. The name of the Company was changed to “Hinduja Finance Corporation Limited” on 31st March 1995. Further, it was changed to “Hinduja TMT Limited” on 8th June 2001. Upon corporate restructuring, it was changed to “Hinduja Ventures Limited” and a fresh Certificate of Incorporation consequent upon the change of name issued on 23rd October 2007. On October 25, 2019, it was changed to NXTDIGITAL.
